1. Introduction & Acceptance
Welcome to Oroaje Global Limited ("Oroaje.com"). These Terms and Conditions govern your use of our platform as either a Vendor (Seller) or a Buyer. By accessing Oroaje.com, you agree to be bound by these terms. If you do not agree, please discontinue use immediately.
2. Definitions
"Platform" refers to Oroaje.com and its services.
"Vendor" refers to any registered third-party seller offering products on the Platform.
"Buyer" refers to any individual or entity purchasing goods from a Vendor.
"Services" refers to the marketplace facilitation, payment processing, and support provided by Oroaje.com.
3. Role of Oroaje.com
Oroaje.com is a multi-vendor marketplace. We provide the digital space for Vendors and Buyers to interact.
Not the Seller: Unless specifically stated, Oroaje.com does not own, sell, or ship the products listed by Vendors.
Intermediary: Our role is limited to facilitating the transaction, hosting the storefront, and providing a secure payment gateway.
4. Vendor Responsibilities
To maintain a high standard of service, Vendors must comply with the following:
Accurate Listings: Vendors must provide truthful descriptions, images, and pricing for all products.
Legal Compliance: Vendors are responsible for ensuring their products do not violate Nigerian laws, including prohibited imports/exports.
Taxation: Vendors are solely responsible for calculating and remitting applicable taxes (e.g., VAT) to the Federal Inland Revenue Service (FIRS).
Order Fulfillment: Vendors must ship orders within the timeline specified in their individual store policies.
5. Fees and Payments
Commission: Oroaje.com may charge a service fee or commission on each successful transaction.
Payment Processing: All payments are processed through CBN-approved gateways. Funds are held in escrow and released to Vendors according to the [Payment Cycle] (e.g., 7–14 days after delivery).
Non-Refundable Fees: Platform subscription fees for Vendors are generally non-refundable once the service period begins.
6. Returns, Refunds, and Consumer Rights
Under the FCCPC Act, Buyers have specific rights:
Right of Withdrawal: Buyers may return goods within a specified period if they are faulty or do not match the description.
Dispute Resolution: In the event of a dispute between a Buyer and Vendor, Oroaje.com will act as a mediator but is not legally liable for the Vendor's breach.
Return Shipping: Unless the item is faulty, the cost of return shipping is typically borne by the Buyer.
7. Intellectual Property
Platform Content: All logos, site designs, and trademarks of Oroaje.com are our property.
Vendor Content: Vendors grant Oroaje.com a non-exclusive license to use their product images and descriptions for marketing purposes.
8. Data Protection & Privacy
We handle all user data in accordance with the Nigeria Data Protection Regulation (NDPR).
Usage: Personal data is collected only for transaction fulfillment and platform improvement.
Third Parties: We do not sell user data to third parties without explicit consent.
9. Limitation of Liability
To the maximum extent permitted by law, Oroaje.com is not liable for:
Indirect, incidental, or consequential damages.
Losses arising from Vendor-Buyer disputes or product defects.
System downtime or technical interruptions beyond our control.
10. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through [Mediation or Arbitration] in [Insert City, Nigeria] before proceeding to court.
